WELCOME TO SPARKED.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "User," or "Member") and Metaxy Labs Inc. ("Company," "we," "us," or "our"), a corporation incorporated under the laws of British Columbia, governing your access to and use of the Sparked mobile application (the "App") and related services (collectively, the "Service").

BY CREATING AN ACCOUNT, VERIFYING YOUR IDENTITY, OR ACCESSING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICE.

Nature of the service

"Blind date" acknowledgment

Sparked is a blind dating platform. By using the Service, you explicitly acknowledge and agree that:

  • (a) Limited Disclosure: You will not see photographs, full names, or specific identifying details of your match prior to the confirmed date.

  • (b) Matching Methodology: While Sparked makes no guarantees regarding physical attraction, you acknowledge that our matching algorithms and automated systems incorporate physical preference data, lifestyle compatibility, and personality traits to select matches with a high probability of mutual attraction.

  • (c) Waiver of Outcome: You waive any right to a refund or claim based on a lack of physical attraction, "chemistry," or personal preference regarding the appearance of a match. You are paying for the service of the curated introduction, not the outcome of the date.

The "Emma" Automated Agent

The Service utilizes artificial intelligence technologies (represented as the character "Emma") to collect data and facilitate matches. You understand that:

  • Emma is a software agent, not a human.

  • Conversations with Emma are processed to generate matchmaking embeddings.

  • Emma does not provide professional psychological, medical, or legal advice.

Introduction Only

Sparked is strictly a platform for identity verification and introduction. We are not a broker of marriage nor a guarantor of safety. You agree that you bear all risks associated with meeting other users in person.

Eligibility & Verification

Strict eligibility

To use Sparked, you must:

  • Be at least 18 years of age;

  • Be legally permitted to use the Service by the laws of your home country;

  • Have never been convicted of a felony, indictable offense, sex crime, or any crime involving violence; and

  • Not be required to register as a sex offender in any jurisdiction.

Identity Verification (Mandatory)

Access to the Service is conditional upon successful identity verification.

  • Third-Party Processing: You verify your identity via our partner, Veriff. You consent to the processing of your Government ID and biometric liveness data for this purpose.

  • Accuracy: You warrant that the ID provided is yours and has not been altered. Using another person’s ID is a criminal offense and will be reported to authorities.

Account security

You may only create an account using a valid mobile phone number registered in your name. Voice-over-IP (VOIP) numbers and "burner" apps are prohibited.

Mandatory Algorithmic Analysis (Appearance & Integrity)

You acknowledge that Sparked utilizes proprietary automated processing systems to facilitate compatibility and platform integrity.

  • (a) Data Submission: To enable these systems to function, you agree to submit a valid, current photograph of yourself.

  • (b) Automated Processing: You consent to the processing of this image for (i) matchmaking compatibility analysis (e.g., extracting physical tags) and (ii) fraud prevention (e.g., preventing the use of stock photos or catfishing).

  • (c) Deletion Guarantee: We warrant that this source image is permanently deleted from our servers immediately after analysis. It is never displayed to other users.

The "Invite & Vouch" system

The Web of Trust

Sparked operates on a reputation-based invitation system. If you are granted the privilege to invite other users (a "Vouchee"), you acknowledge that you are staking your reputation on their behavior.

Vicarious Liability for Bans

If a user you invited is banned from the Service for a "Safety Violation" (including but not limited to: harassment, assault, catfishing, or failure to appear), Sparked reserves the right to suspend, restrict, or permanently terminate YOUR account, regardless of your own behavior.

Fees, payments and cancellations

The Service Fee

To confirm a date and reveal the time/location details, you may be required to pay a fee (the "Service Fee").

  • Nature of Fee: This fee is for the digital service of algorithmic matching, scheduling facilitation, and chat unlocking. It is NOT a deposit for goods, food, or beverages at the venue.

  • Payment Processing: All payments are processed via Apple App Store or Google Play Store. You agree to their respective terms of sale.

Cancellation Policy

  • User Cancellation (24+ Hours): If you cancel a confirmed date more than 24 hours before the scheduled time, you will receive a credit for a future date.

  • User Cancellation (<24 Hours): If you cancel within 24 hours of the scheduled time, the Service Fee is forfeited and is non-refundable

The "No-Show" Policy & Refunds

We take reliability seriously.

  • (a) Refund Eligibility: If your verified match fails to attend the confirmed date ("No-Show"), you are eligible for a full refund of your Service Fee.

  • (b) Evidence Requirement: To claim a No-Show refund, you must submit a claim via the App within 24 hours. Sparked reserves the right to require reasonable evidence of your attendance and the other party's absence (e.g., location metadata, chat logs, or timestamped photos).

  • (c) Consequence: Any user found to have "No-Showed" a confirmed date without valid cause will face immediate account review and potential termination.

Code of conduct

You agree to treat all users and AI agents with dignity and respect. You shall NOT:

  1. Harass: Engage in harassment, bullying, stalking, or hate speech.

  2. Deceive: Misrepresent your identity, employment, or qualifications.

  3. Solicit: Use the Service for commercial solicitation, prostitution, or promotion of adult content platforms.

  4. Violate Privacy: Share the private contact information or location of another user without their consent.

Zero Tolerance: Violation of these rules results in an immediate, permanent ban.

Disclaimers & limitation of liability

Assumption of Risk

YOU AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. You are solely responsible for your interactions with other users. You understand that Sparked does not conduct criminal background checks on its users beyond identity verification.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW (INCLUDING THE LAWS OF BRITISH COLUMBIA), IN NO EVENT SHALL METAXY LABS INC., ITS AFFILIATES, EMPLOYEES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

  • (A) INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES;

  • (B) DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR DATA; OR

  • (C) DAMAGES RESULTING FROM BODILY INJURY, EMOTIONAL DISTRESS, OR PHYSICAL HARM ARISING OUT OF OR RELATING TO COMMUNICATIONS, MEETINGS, OR DATES FACILITATED BY THE SERVICE.

OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER SHALL BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO SPARKED DURING THE SIX (6) MONTHS PRIOR TO THE CLAIM.

Intellectual property

Ownership

The App, the matchmaking algorithms, the "Emma" character, and the "Sparked" brand are the exclusive property of Metaxy Labs Inc.

Your Content

By submitting data (chats, preferences) to the Service, you grant Metaxy Labs Inc. a worldwide, royalty-free, perpetual license to use, anonymize, and process such content for the purpose of operating the Service, improving the AI, and facilitating matches.

Governing law & dispute resolution

Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Venue

Any dispute arising out of these Terms or your use of the Service shall be resolved exclusively in the courts located in Vancouver, British Columbia.

Class Action Waiver

WHERE PERMITTED BY LAW, YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
